These Terms of Service ("Terms") govern your access to and use of the platform operated by Halo Ventures LLC, a Delaware limited liability company ("Halo," "we," "us," or "our"), available at joinhaloclub.com (the "Platform"). By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, do not access or use the Platform.

Halo does not offer, sell, or solicit the purchase or sale of securities. Halo does not provide investment advice, financial advice, legal advice, or tax advice of any kind.
NOT FINANCIAL ADVICE. All content, educational materials, deal flow information, community discussions, and communications made available through the Platform are provided for informational and educational purposes only. Nothing on the Platform constitutes a recommendation to buy, sell, or hold any investment, security, or asset. You should not rely on any information on the Platform as the basis for making any investment decision.
INDEPENDENT VERIFICATION REQUIRED. Any investment opportunity referenced or made available through the Platform involves significant risk, including the risk of total loss of capital. ACCREDITED INVESTORS ONLY. Access to certain investment-related content and opportunities through the Platform may be limited to individuals who qualify as "accredited investors" as defined under Rule 501 of Regulation D of the Securities Act of 1933, as amended. By accessing investment-related content on the Platform, you represent that you meet the applicable accreditation requirements.
PLATFORM DESCRIPTION
Halo operates as a membership platform offering three core pillars: curated consumer deal flow information, a multidisciplinary investment community, and educational content about angel investing and private markets. Halo is a marketplace for curation, community, and education. Halo does not manage funds, hold client assets, execute transactions, or act as an intermediary in any securities transaction.
ELIGIBILITY
You must be at least 18 years of age to use the Platform. By using the Platform, you represent and warrant that you meet this requirement and that you have the legal capacity to enter into these Terms.
ACCOUNT REGISTRATION
To access certain features of the Platform, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at info@joinhaloclub.com if you suspect any unauthorized use of your account.
MEMBERSHIP AND FEES
Certain features of the Platform may require a paid membership. Membership fees, billing cycles, and cancellation terms will be disclosed at the time of purchase. All fees are non-refundable unless otherwise stated or required by applicable law. We reserve the right to modify membership fees with reasonable notice to members.
INTELLECTUAL PROPERTY
All content on the Platform, including but not limited to text, graphics, logos, educational materials, videos, course content, and software, is owned by or licensed to Halo Ventures LLC and is protected by applicable copyright, trademark, and other intellectual property laws.
You may not reproduce, distribute, modify, create derivative works from, publicly display, or otherwise exploit any content from the Platform without our prior written consent. Limited personal, non-commercial use of Platform content for your own educational purposes is permitted, provided you do not remove any copyright or proprietary notices.

By using the Platform, you agree not to:

Impersonate any person or entity or misrepresent your affiliation with any person or entity.
Upload, post, or transmit any content that is defamatory, obscene, fraudulent, or otherwise objectionable.
Interfere with or disrupt the integrity or performance of the Platform.
Attempt to gain unauthorized access to any part of the Platform or its related systems.
Scrape, crawl, or otherwise extract data from the Platform without our express written consent.
THIRD-PARTY CONTENT AND LINKS
The Platform may contain links to third-party websites, content, or services. We do not endorse or assume responsibility for any third-party content, products, or services. Your interactions with third-party sites are governed by their respective terms and privacy policies.
ADVERTISING
The Platform may feature sponsored content or advertising from third parties. Any such content will be identified as sponsored or promotional where required by applicable law. Halo does not endorse the products or services of any advertiser, and the presence of advertising on the Platform does not constitute a recommendation or endorsement by Halo.
DISCLAIMER OF WARRANTIES
THE PLATFORM AND ALL CONTENT, MATERIALS, AND SERVICES PROVIDED THROUGH IT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT. HALO DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
LIMITATION OF LIABILITY
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, HALO VENTURES LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, MEMBERS, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, OR INVESTMENT LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE PLATFORM, EVEN IF HALO HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL HALO'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE PLATFORM EXCEED THE AMOUNT YOU PAID TO HALO IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.
INDEMNIFICATION
You agree to indemnify, defend, and hold harmless Halo Ventures LLC and its officers, directors, employees, members, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of the Platform, your violation of these Terms, or your violation of any rights of a third party.
GOVERNING LAW AND DISPUTE RESOLUTION
These Terms are governed by the laws of the State of Delaware, without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms or the Platform shall be resolved through binding arbitration administered in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive or other equitable relief in a court of competent jurisdiction where necessary to protect intellectual property rights or confidential information.
CHANGES TO THESE TERMS
We reserve the right to modify these Terms at any time. When we make material changes, we will update the effective date and notify you through the Platform or by email. Your continued use of the Platform after any modification constitutes your acceptance of the updated Terms.
TERMINATION
We reserve the right to suspend or terminate your access to the Platform at any time and for any reason, including violation of these Terms, with or without notice. Upon termination, all licenses granted to you under these Terms will immediately cease.
